2. Purpose
These Terms & Conditions of Sale (TCS) govern the provision of professional services
by Calistario.com, a 360° Marketing Studio, to business clients.
Services may include marketing strategy, automation, email campaigns,
SEO, branding, design, and digital consulting.
3. Acceptance of terms
Any order, validation, or payment implies full and unconditional acceptance
of these Terms & Conditions of Sale, the Terms & Conditions of Use (TCU),
and the Privacy Policy.
The client acknowledges having reviewed these documents prior to any commitment.
4. Nature of services
Calistario.com provides services including, but not limited to:
- Marketing automation and workflow implementation (Brevo, Zapier, CRM, etc.)
- Email campaign creation and management
- Content writing, design, and integration
- SEO, branding, and digital assets
- Third-party tool configuration
- Monitoring, optimization, and reporting depending on the subscribed offer
The client remains the sole owner of their accounts and tools.
Access is granted on a temporary and secure basis only.
5. Orders and validation
An order becomes final upon receipt of payment or written validation
of the quotation, package, or proposal.
Any specific request must be communicated prior to the start of the service.
6. Calistario.com commitments
- Deliver services in accordance with the agreed scope
- Meet deadlines subject to client responsiveness
- Ensure confidentiality and secure handling of granted access
- Apply professional best practices in digital marketing
7. Client commitments
- Provide all required materials, access, and approvals
- Comply with payment deadlines
- Actively collaborate throughout the engagement
In the event of no response or validation for more than
10 business days, Calistario.com reserves the right
to suspend the service without automatic deadline extension.
8. Revisions and changes
Each service includes one minor revision unless otherwise specified.
Any additional request outside the original scope will be subject
to a separate quotation.
9. Delivery and validation
Delivery is deemed completed:
- Upon submission or publication of deliverables
- Or after 7 business days with no client feedback
10. Payment and invoicing
Unless otherwise agreed, payment is due in full upon order.
Invoices are sent by email in PDF format.
In case of non-payment, Calistario.com reserves the right
to suspend or terminate the service.
11. Subscriptions and recurring services
Monthly services are automatically renewed.
Termination must be requested by email at least
10 days before the next billing cycle.
12. Intellectual property
All deliverables remain the property of Calistario.com
until full payment has been received.
Upon payment, usage rights are granted to the client
on a non-exclusive basis, unless otherwise stated.
13. Confidentiality and data
Calistario.com strictly prohibits any resale, rental,
or unauthorized use of client data or email databases.
Data is processed solely for the purpose of the engagement
and deleted within a maximum of 60 days after project closure,
unless legal obligations require otherwise.
14. Third-party tools
Calistario.com relies on third-party tools (Brevo, Zapier, CRM platforms, etc.).
The agency cannot be held liable for outages, updates, or failures
of such external services.
15. Liability
Calistario.com does not guarantee commercial results.
Its liability is strictly limited to the amount paid
for the service concerned, in the event of proven gross negligence.
16. Early termination
If the client terminates the engagement after work has started,
no refund shall be due.
Completed elements may be delivered for informational purposes.
17. Force majeure
Calistario.com shall not be held liable for failure or delay
due to force majeure events (natural disasters, cyberattacks,
administrative decisions, global outages).
18. Governing law and disputes
These Terms & Conditions of Sale are governed by Moroccan law.
Any dispute shall fall under the exclusive jurisdiction
of the courts of Tangier, unless mandatory provisions state otherwise.
